Legal Setup | brands may use their own deal agreement with influencers

Brand-authored Deal Agreements:
- For a small one-time fee, brands may provide Reach with a contract that they wish to use when making deals with influencers.
- In order to maintain our value-add of scalability, we integrate your contract into the Reach system so that we can dynamically generate contracts for each influencer using the brand's deal agreement.
- Brand's legal team may approve the final contract that is generated before publishing an offer.
- Each time a brand matches with an influencer, Reach completes a corresponding Term Sheet. The Term Sheet is the beginning of each contract and defines all of the terms within.
- Definitions in the Term Sheet are dynamically generated based on the brand's offer and the name of the influencer matched.
- The Deal Requirement Addendum is dynamically generated based on the deal requirements that the brand included in the offer.
- After the Term Sheet and Deal Requirement Addendum are dynamically generated, the rest of the contract will be the brand's exact document and language provided to Reach.
- Reach explains to influencers that the contracts on the platform are not open for negotiation, so legal correspondences will be limited to questions with minimal back-and-forth.
More about the Legal Setup Fee:
- The one-time Legal Setup fee is $2,500.
- This includes getting the brand-authored Deal Agreement approved by Reach.
- This includes setting up the brand account to dynamically generate contracts using the brand's language with each influencer matched.
- This fee does not include the Reach Legal Account Manager, who will handle contractual correspondences between your legal team and Influencers.
- This fee is volume-dependent and will correspond to the amount of legal inquiries Reach receives about the brand's offers.
- If a brand wants to make changes to their Deal Agreement document after the initial setup, there will be an additional charge.
Requirements for Brand-authored Deal Agreements
For technological purposes, a brand's contract must meet the following specifications and be approved by the Reach legal setup team and must include:
- A Term sheet which is identical to the one Reach uses in above sample
- A Deal Requirement Addendum identical to the one Reach uses in above sample
- A Summary of the contract in plain language that will be understandable for influencers. One or two sentences explaining each material provision of the Agreement is preferred. The Summary is made a part of the agreement, however the terms of the Deal Agreement govern.
Brand's contract must include the following clauses:
Engagement - The Engagement must be referred to as a Deal. The Influencer must have 14 days to complete the Deliverables from the date of execution or the date the Influencer receives goods (if any).
Representations and Warranties - Reach requires brands to represent and warrant that they can enter into this agreement and that they own any intellectual property provided to the Influencer.
Matching Protocol - Reach will provide its standard clause about how the matching protocol within the Reach App works.
Ownership of Deliverables - In all Reach Deals, the Influencer will own the rights to the Deliverables and the Brand will have a license to display them on their website and/or social media channels.
Deletion of Deliverables - The Influencer is able to delete the Deliverables or remove the branding after the post is live for 30 days.
Image release -Reach will provide the language of an image and biographical release.
